NEW YORK, New York – February 19, 2019 – Priority Income Fund, Inc. (the “Company”) today announced that it plans to offer shares of its Series C Term Preferred Stock due 2024 (the “Preferred Stock”) in an underwritten public offering. The terms of the Preferred Stock are to be determined by negotiations between the Company and the underwriters. In addition, the Company plans to grant the underwriters a 30-day option to purchase additional shares of the Preferred Stock to cover overallotments, if any.
The Company has applied to list the Preferred Stock on the New York Stock Exchange (“NYSE”) under the ticker symbol “PRIFC”. If the application is approved, trading on the NYSE in the Preferred Stock is expected to begin within 30 days following the issuance date of the Preferred Stock. The Series C Term Preferred Stock has been assigned a private rating of “AA” by Egan-Jones Ratings Co.
The Company plans to use the net proceeds from the offering of the Preferred Stock to acquire investments in accordance with its investment objectives and strategies and for general corporate purposes.
